Alicia Downey was one of several former SJC law clerks who aided the Court in its annual celebration of Law Day on May 1, 2015, at the John Adams Courthouse. This year, the clerks worked with small groups of visiting Boston high school students, comparing some of the key provisions of the English Magna Carta with important rights incorporated into the Massachusetts and federal constitutions.

Alicia Downey is preparing to speak at a panel discussion entitled, “Institutional Investors + Antitrust = ?” at the 2015 Spring Meeting of the Business Law Section of the American Bar Association in San Francisco, CA, on April 17, 2015. Joining Alicia in a two-hour discussion about antitrust issues arising in dealings between and among institutional investors and investment fund managers will be K&L Gates partners John Longstreth and Margaret Niles, and Cynthia Collins, a partner with Robinson, Bradshaw & Hinson.

On February 26, 2015, Alicia Downey moderated a 90-minute webinar with speakers S. Lynn Diamond of White & Case LLP and Sarah Rabinovici of Pepper Hamilton LLP, entitled, “Managing and Mitigating Antitrust Risk in Transactions.” The program focused on how counsel and client can work together to manage and mitigate the risks associated with deals among competitors: the types of transactions that are most likely to draw scrutiny; how to use antitrust risk assessment to negotiate appropriate protections in the contract; and managing the risks in doing due diligence and integration planning.

Alicia recently returned from the invitation-only retreat for ABA Business Law Section officers and committee chairs in Riviera Maya, Mexico. In addition to getting to know other Section leaders in sessions addressing how the ABA’s largest section can effectively nurture its current and future leaders while offering value to business lawyers, Alicia enjoyed the warm weather and took some time to explore the ruins of the ancient Mayan city of Chichen Itza.

On November 11, 2014, Alicia Downey moderated a 90-minute American Bar Association Continuing Legal Education webinar entitled, “But We Want to Close in Two Weeks” – HSR Process and Timing. The speakers, S. Lynn Diamond of White & Case LLP and Sarah Rabinovici of Pepper Hamilton LLP, covered a wide range of issues arising in deals subject to review and clearance by the Federal Trade Commission and Department of Justice. The program was geared toward transactional lawyers who need to understand which deals are subject to reporting requirements, HSR requirements and timing of investigations, and how to protect the confidentiality of client documents submitted to the agencies.

The 2015 edition of U.S. News – Best Lawyers “Best Law Firms” has ranked Downey Law in Tier 1 for Litigation – Antitrust and Tier 2 for Antitrust Law in the Metro Boston area. This year, Downey Law was also awarded a National Tier 3 ranking in Litigation – Antitrust. According to Best Lawyers, rankings are determined on the basis of feedback from clients and peers and information provided by participating law firms.

Alicia Downey is a faculty member for the Practising Law Institute’s upcoming annual Antitrust Counseling and Compliance seminar on October 31, 2014, in New York. The all-day Continuing Legal Education program will be presented live and via webcast to a large audience of in-house counsel and lawyers in private practice. Alicia Downey participated in a program on legal ethics for 1Ls at Boston College Law School. She and fellow panelists (all BC Law alumni) engaged in a role-playing exercise that illustrated common ethical dilemmas faced by lawyers and the importance of adhering to the Rules of Professional Conduct. The editors of Antitrust Adviser, published by Thomson Reuters, have invited Alicia Downey to co-author the chapter on price discrimination in the treatise’s forthcoming fifth edition. Antitrust Adviser is a two-volume resource that addresses practical antitrust issues, including counseling compliance, identifying risky acquisitions under the antitrust laws that require notification to the authorities, and preparing to prosecute or defend an antitrust suit.
